MBP Legal is a commercial firm that practices in 6 major practice areas namely, commercial transactions, property transactions, taxation law, wealth planning law, commercial litigation and insolvency litigation.

Regardless of whether it is a merger or acquisition, a corporate or business fundraising, a corporate or tax restructure, the primary concern of business clients engaging in a COMMERCIAL TRANSACTION is that

  • they want the deal done,
  • they want it done properly, and
  • they want it done for a realistic price.

Our role is to achieve our clients' objectives within the time period required.

In line with the firm's commercial focus, MBP Legal has a strong PROPERTY TRANSACTION practice, the main focus being on development, commercial and residential property transactions and leasing. We make it our business to keep abreast of current commercial property trends and changes in all areas of the law affecting our clients' property interests.  Development and business clients sometimes encounter planning and development consent  barriers and when our clients' financial objectives require it, we will appropriately press our clients' entitlements in the Land & Environment Court.

TAXATION LAW issues arise in relation to most commercial and investment transactions. It is unwise for any such decision or transaction to occur without prior planning and consideration of relevant tax implications. As such, the firm has substantial expertise in tax law, stamp duties, GST, Payroll Tax and Land Tax.  Some transactions will require us to work closely with a clients' accountants and other financial and investment advisers in meeting the client’s legal objectives.  Understanding and taking into consideration the relevant tax profile of a commercial or property transaction should be addressed before the transaction occurs.   There are numerous tax based advantages available to clients if informed tax advice is given prior to or at the time of a particular transaction – similarly many opportunities are lost when clients engage in commercial and property transactions in a tax void.

WEALTH PLANNING LAW deals with wealth creation and preservation, estate planning, business succession and asset protection.  All of these practice areas allow MBP Legal to utilise its considerable tax and insolvency expertise for the benefit of clients – often in conjunction with their accountants and financial planners.

Whilst every client seeks to avoid disputation, commercial disagreements are a fact of life.   MBP Legal adopts a well reasoned commercial approach to COMMERCIAL LITIGATION and dispute resolution. Whether you as a client are the protagonist or aggrieved party in a dispute, we closely examine all aspects of a dispute including the technical issues as well as the underlying factors which may be driving the dispute.  Where appropriate we actively encourage alternative dispute resolution at an early stage.   We litigate only when it is necessary to achieve a satisfactory commercial and financial outcome for our clients and not to create legal precedent.

Finally, at MBP Legal we recognise that business in Australia can be ‘hard going”.  Despite a client’s best efforts and skill, not every business is successful.  As such MBP Legal has considerable expertise in both corporate and personal insolvency and INSOLVENCY LITIGATION, whether in terms of assisting business clients to adequately prepare for it or advising insolvency practitioners in the complex area of insolvency law.
